Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website located at https://subscriptionbillinghub.com (the "Site") and any related services, including subscription billing processing, SaaS metrics dashboards, and payment facilitation (collectively, the "Services") provided by Subscription Billing Hub ("Company," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization. If you do not agree to these Terms, you may not use the Services.

You must be at least 18 years old and capable of forming a binding contract to use the Services. If you are under 18, you may not use the Services.

2. Intellectual Property Rights

2.1 Ownership

The Services and all content, features, and functionality (including but not limited to software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Subscription Billing Hub, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

2.2 License to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as expressly permitted in these Terms.

2.3 Feedback

If you provide any feedback, suggestions, or recommendations regarding the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback into the Services without compensation or attribution to you.

3. User Restrictions and Acceptable Use

3.1 Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate Subscription Billing Hub, a Subscription Billing Hub employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Subscription Billing Hub or users of the Services or expose them to liability.

3.2 Prohibited Activities

You further agree not to:

  • Use the Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Services.
  • Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
  • Use any manual process to monitor or copy any of the material on the Services or for any other unauthorized purpose without our prior written consent.
  • Use any device, software, or routine that interferes with the proper working of the Services.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
  • Attack the Services via a denial-of-service attack or a distributed denial-of-service attack.
  • Otherwise attempt to interfere with the proper working of the Services.

3.3 Account Responsibilities

If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with this section.

4. Subscription Billing and Payment Terms

4.1 Billing

By providing a payment method, you authorize us (or our third-party payment processor) to charge you for the Services on a recurring basis according to the billing cycle you selected. You agree to pay all charges at the prices then in effect for your use of the Services.

4.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel at any time through your account settings or by contacting us at contact@subscriptionbillinghub.com.

4.3 Refunds

All fees are non-refundable except as required by law or as expressly stated in these Terms. We may, at our sole discretion, offer refunds or credits on a case-by-case basis.

4.4 Price Changes

We reserve the right to change our prices. We will provide you with at least 30 days' notice of any price increase. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SUBSCRIPTION BILLING HUB, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF SUBSCRIPTION BILLING HUB TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

6. Disclaimers

6.1 General

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER SUBSCRIPTION BILLING HUB NOR ANY PERSON ASSOCIATED WITH SUBSCRIPTION BILLING HUB MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

6.2 No Financial or Legal Advice

The Services may include SaaS metrics, analytics, and reporting features. These features are provided for informational purposes only and do not constitute financial, legal, or tax advice. You should consult with your own advisors before making any business decisions based on the output of the Services.

6.3 Third-Party Services

The Services may integrate with or rely upon third-party payment processors and other service providers. We are not responsible for the acts or omissions of any third party, and you agree to comply with the terms of any third-party service providers you use in connection with the Services.

7. Indemnification

You agree to defend, indemnify, and hold harmless Subscription Billing Hub, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the Services' content, services, and products other than as expressly authorized in these Terms.

8. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to them or the Services shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the City and County of San Francisco. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

9. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter. However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Services.

Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.
